These terms of sale apply to all services sold under the trading name Open Web Agency: website design and redesign, monthly plans (maintenance, search visibility, social media posts) and related services. They are reserved for business clients (companies, self-employed professionals, associations, public bodies) acting for the purposes of their business.
1. The provider
Open Web Agency is the shared trading name of two sole traders, its co-founders:
Steve Gauthier EI, sole trader (entrepreneur individuel), SIRET 842 315 830 00021, 91120 Palaiseau, France
Nassim Redjem EI, sole trader (entrepreneur individuel), SIRET 828 734 111 00036, 4 avenue de Verdun, 06240 Beausoleil, France
Each contract is concluded with one of them, referred to as “the provider”: the one who issues the quote and the invoices. Only that provider is bound towards the client under that contract.
Contact: contact@openwebagency.com, +33 6 35 48 85 56. VAT not applicable, Article 293 B of the French General Tax Code.
2. Ordering
After a meeting, the client confirms the chosen package on our offer page, then receives a detailed quote by email within 72 working hours. The quote is valid for 30 days, unless another period is stated on it.
The order becomes binding when the client accepts the quote and pays the deposit. Accepting the quote means accepting these terms, which prevail over the client’s general purchasing conditions unless otherwise agreed in writing.
3. Prices and payment
Prices are stated excluding taxes. VAT not applicable, Article 293 B of the French General Tax Code: the amount shown is the amount paid.
Website design: a deposit of 40% (Showcase and Premium packages) or 60% (Premium+ package) is paid when ordering; the balance is paid on delivery, upon receipt of the invoice.
Monthly plan: paid every month, by direct debit or card, from the date the website goes live.
Payments are made via the secure payment link attached to each invoice (card or bank transfer). No discount is granted for early payment.
Late payment: penalties equal to three times the French statutory interest rate are automatically due, together with a fixed recovery fee of €40 (Articles L441-10 and D441-5 of the French Commercial Code).
Unpaid monthly plan: after a reminder left unanswered for 15 days, the provider may suspend the monthly plan and the website’s hosting until payment is made.
4. Website design
Showcase: a bespoke showcase website, optimised for mobile, up to 5 pages (additional pages on quotation). Delivered within 7 working days.
Premium: everything in Showcase, plus a blog and an admin area, 3D elements and online payment. Delivered within 14 days at most.
Premium+: everything in Premium, plus a members’ area, email marketing and bespoke features. Scope and schedule set out in the quote.
The exact content of each project is that of the accepted quote.
5. Client content and timescales
Once the deposit is paid, the client receives an email inviting them to send their content (logo, brand guidelines, photos, videos, texts, documents) through the stated file-transfer service, then to confirm it with one click. If they have no documents to provide, they confirm this in the same way.
Delivery timescales run from this confirmation and the payment of the deposit. Any delay by the client in providing content, approvals or access postpones delivery accordingly.
If neither content nor confirmation is received within 60 days of the deposit being paid, and after a reminder, the provider may close the project. The deposit is then retained by the provider, in return for the start-up work carried out.
The client warrants that they hold the rights to the content they provide (texts, images, trade marks) and that publishing it does not infringe any third-party rights.
6. Delivery
Delivery means the website going live. The client has 7 days to report in writing any defect against the quote; the provider corrects it free of charge. After this period, or as soon as the website is first used commercially, delivery is deemed accepted.
Requests not included in the quote are subject to an additional quote.
7. Monthly plans
A monthly plan is required for the website to stay online: it always includes hosting. The plans are as follows:
Maintenance: hosting, security updates, regular backups, website monitoring and up to 2 small changes per month (a text, a photo, opening hours). Unused changes do not roll over.
Maintenance + local SEO: maintenance, plus updating the business’s Google profile, one Google post per month, review monitoring and a monthly ranking report.
Maintenance + SEO, AEO and GEO: the previous plan, plus one optimised piece of content per month (article or page), monitoring and enrichment of FAQs and structured data, a monthly check of what AI assistants say about the business, and a report.
Total Visibility pack: the previous plan, plus 8 social media posts per month.
Social media pack (without a website): 8 posts per month.
A post includes a visual and its text, one revision and scheduling, on 2 networks of the client’s choice among Instagram, Facebook, TikTok and the business’s Google profile. Not included: video shooting, paid advertising and comment moderation (available as an option, on quotation). Additional posts can be ordered individually: a photo post, or a carousel or short video post (format not available on the Google profile).
Search and visibility services are subject to an obligation of means: rankings in search engines and the answers of AI assistants depend on third parties, and no position or result can be guaranteed.
8. Term, commitment and termination
Plans including social media posts: 6-month commitment from their start. If terminated before the end of this period, the monthly payments remaining until its end are invoiced.
Other plans: the first 3 months are commitment-free. 72 hours before the end of the third month, the provider writes to the client to offer a choice: commit for 12 months, with a 50% discount on the first month of the commitment; continue without commitment, at the same price; or terminate. A reminder is sent 20 days after this email.
The client expressly accepts that, failing a reply within 30 days of this email, the 12-month commitment applies (Article 1120 of the French Civil Code). The provider keeps proof that the emails were sent.
At the end of a commitment, the monthly plan continues without commitment.
Outside a commitment period, the client may terminate at any time by email, with 30 days’ notice.
Changing plans: moving to a higher plan is possible at any time; moving to a lower plan, only outside a commitment period. The change takes effect from the next monthly payment.
9. Ownership
Domain name: it is registered in the client’s name and belongs to the client.
Client content (texts, photos, logo, documents): it remains the client’s property. The client authorises the provider to use it to build and run their website.
Website code: the code, components, technical design and tools developed by the provider remain the provider’s property. The client has a non-exclusive, non-transferable right to use their website for the purposes of their business, for as long as their monthly plan is active and paid.
If the monthly plan ends, the website is taken offline at the end of the notice period. The client keeps their domain name, and their content is returned to them on request. If they wish to keep their website, they may buy its code, at a price set on quotation.
10. Liability
The provider is bound by an obligation of means. It is not liable for content supplied by the client, for interruptions caused by third parties (hosting provider, domain registry, social networks, search engines), or for indirect damage (loss of revenue, customers or data). Its total liability is limited to the sums paid by the client under the contract over the previous 12 months.
Neither party is liable for a failure caused by force majeure (Article 1218 of the French Civil Code).
11. Personal data
The processing of the client’s personal data is described in our privacy policy.
Where the client’s website collects personal data from its own visitors (forms, accounts, payments), the client is the data controller and the provider acts as processor, on the client’s instructions (Article 28 GDPR).
12. Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties first seek an amicable solution. Failing that, the dispute is brought before the competent courts for the provider’s place of business.
The applicable terms are those in force on the date the quote is accepted. Last updated: 9 October 2026.
